These Terms and Conditions (the "Terms" or this "Agreement") govern access to and use of: (i) the websites, subdomains, and pages operated by QQDAO (the "Website"); (ii) any content, functionality, and services offered on or through the Website, our social channels, and community tools (collectively, the "Services"); and (iii) the Solana blockchain-based cryptographic asset $CLEANPUFF (the "Token" or "$CLEANPUFF"), and any related NFT drops or promotions (collectively, the "Offerings"). These Terms incorporate by reference our Privacy Policy and any posted rules, schedules, or policies (collectively, the "Policies"). By accessing the Website or Services, connecting a wallet, participating in the token sale or any promotion, or otherwise using the Offerings, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, do not use the Services.
IMPORTANT: THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, A CLASS-ACTION WAIVER, AND A MANDATORY ARBITRATION CLAUSE. PLEASE READ CAREFULLY.
1.1 Age & Capacity. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter a binding contract. If you are using the Services on behalf of an entity, you represent that you are duly authorized to bind that entity.
1.2 Prohibited Users. You may not use the Services or participate in the token sale if you are: (a) subject to sanctions or listed on any restricted party list (including the UN, EU, UK HM Treasury, OFAC/US Treasury, BIS Denied Persons List); (b) located, organized, or resident in any comprehensively sanctioned country/region (including, without limitation, Cuba, Iran, North Korea, Syria, Russia, or the Crimea/Donetsk/Luhansk regions of Ukraine), or any other jurisdiction where participation would be unlawful; or (c) otherwise prohibited by applicable law. You are solely responsible for compliance with all laws that apply to you.
1.3 Technology Requirements. You are solely responsible for: (a) a compatible device, browser, and Internet connection; (b) a self-custodial wallet suitable for Solana SPL tokens (the "Wallet"); and (c) any cryptocurrency needed for gas/fees or purchases. We do not control or guarantee any network, wallet provider, or third-party platform.
2.1 Community Token; Not an Investment. $CLEANPUFF is a community-driven meme coin intended for entertainment, culture, and community engagement. It is not an investment, security, or any other regulated financial instrument. No element of the Services constitutes investment, legal, or financial advice. We make no promises of profit, appreciation, or returns of any kind.
2.2 No Carbon Credit Instrument. Any sustainability themes (e.g., "Clean Puff") are symbolic and educational. The Token does not represent or convey certified carbon credits or environmental attributes, and no purchase hereunder constitutes participation in a regulated carbon market.
2.3 No Registration or Solicitation. The Offerings have not been registered with any securities regulator, and no governmental authority has reviewed, approved, or endorsed the Token or the Services. Participation may be restricted or unlawful in some jurisdictions—you are responsible for ensuring legality where you live.
3.1 Final & Non-Refundable. All transactions are final. We do not provide refunds or reversals for on-chain transactions. You are responsible for ensuring the accuracy of recipient addresses, network selection, and amounts sent.
3.2 Volatility & Risk. Digital assets are volatile. You may lose some or all value. Markets may be illiquid, and prices can change rapidly. By purchasing or using $CLEANPUFF, you assume all risks (including technological, regulatory, market, and cybersecurity risks).
3.3 Fees. You are responsible for all blockchain fees, platform fees, and any taxes arising from your activities. You agree to report and pay all applicable taxes.
3.4 No Custody. QQDAO does not take custody of user funds. You control your Wallet and private keys. Loss of keys or seed phrases is your responsibility.
4.1 Access & Changes. We may add, modify, or remove features; update these Terms; or discontinue the Services at any time, with or without notice. Continued use after changes means you accept the updated Terms.
4.2 Suspension/Termination. We may suspend or terminate access for any violation of these Terms or applicable law, suspected fraud/abuse, or at our discretion to protect users, the protocol, or QQDAO.
5.1 Ownership. The Website, the Queen Queef marks and logos, artwork, text, graphics, videos, designs, lore, and other materials (collectively, the "QQDAO IP") are owned by or licensed to QQDAO and protected by copyright, trademark, and other laws. © 2025 QQDAO LLC — All Rights Reserved.
5.2 Limited License. We grant you a personal, non-exclusive, non-transferable, revocable, limited license to access the Website and Services for lawful, non-commercial purposes in accordance with these Terms. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, scrape, or create derivative works from the QQDAO IP.
5.3 Trademarks. "QUEEF COIN," "Queen Queef," "$CLEANPUFF," "Clean Puff," and related logos/marks are trademarks of QQDAO. You may not use our marks without prior written permission.
You agree not to: (a) violate any law; (b) engage in fraud, market manipulation, money laundering, or terrorist financing; (c) use bots or exploit smart-contract vulnerabilities; (d) interfere with the Website or Services; (e) infringe any third-party rights; or (f) use the Services where prohibited. You represent that your funds do not derive from unlawful activity.
Exchanges, NFT marketplaces, wallets, bridges, and other third-party tools are not controlled by QQDAO. Your use of any third-party platform is at your sole risk and subject to that platform's terms. We make no warranties regarding their availability, security, pricing, or performance and disclaim liability for any loss arising from third-party services.
THE SERVICES, $CLEANPUFF, ANY NFTs, CONTENT, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF MALICIOUS CODE; THAT DEFECTS WILL BE CORRECTED; OR THAT ANY RESULTS WILL BE ACCURATE OR RELIABLE. YOU ASSUME ALL RISKS RELATING TO BLOCKCHAIN TECHNOLOGY, SMART CONTRACTS, NETWORK CONGESTION/FAILURE, WALLET SECURITY, REGULATORY CHANGES, AND MARKET CONDITIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QQDAO LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, ADVISORS, PARTNERS, AND SERVICE PROVIDERS (COLLECTIVELY, the "Covered Parties") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLES), OR FOR ANY DAMAGES OR LOSSES ARISING OUT OF OR RELATING TO: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES OR $CLEANPUFF; (B) ANY THIRD-PARTY PLATFORM; (C) ANY TECHNOLOGY, NETWORK, OR SMART-CONTRACT FAILURE; (D) UNAUTHORIZED ACCESS TO YOUR WALLET; (E) REGULATORY OR TAX CONSEQUENCES; OR (F) PRICE VOLATILITY OR MARKET EVENTS. IF LIABILITY CANNOT BE EXCLUDED, THE TOTAL AGGREGATE LIABILITY OF THE COVERED PARTIES SHALL NOT EXCEED US $500.
You agree to defend, indemnify, and hold harmless the Covered Parties from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services or $CLEANPUFF; (b) your violation of these Terms or any law; (c) any dispute with a third party; or (d) your misuse of any third-party platform.
11.1 Governing Law. This Agreement is governed by the laws of the Republic of the Marshall Islands, without regard to its conflict-of-laws rules.
11.2 Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the Offerings shall be finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) under its Rules, by one arbitrator, seated in Majuro, Marshall Islands, with proceedings conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
11.3 No Jury; Class-Action Waiver. You waive any right to a jury trial. To the maximum extent permitted by law, disputes shall be resolved only on an individual basis; class, collective, or representative actions are not permitted.
11.4 Injunctive Relief. Notwithstanding the foregoing, QQDAO may seek temporary or preliminary injunctive relief in any court of competent jurisdiction to protect its IP or the integrity of the Services.
We may update these Terms at any time. The "Last Modified" date indicates the latest version. Your continued use after any update constitutes acceptance of the revised Terms.
Entire Agreement. These Terms (and Policies incorporated by reference) are the entire agreement between you and QQDAO regarding the Services.
Severability. If any provision is held invalid, the remainder remains in effect.
No Waiver. A failure to enforce any provision is not a waiver.
Assignment. You may not assign these Terms without our prior written consent; we may assign at any time.
Headings. Headings are for convenience only.
UN CISG. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
